Full-time Legal Assistant

at Kent Corporation in Muscatine, Iowa

The Legal Assistant will provide support to the General Counsel and Assistant General Counsel in the following areas: contract drafting and review, trademark searches and filings, litigation support, regulatory compliance and corporate governance matters, routine law department administration, research and special projects. The Legal Assistant is expected to regularly exercise independent judgment and discretion and be a highly skilled resource for the Law Department attorneys. This is a salaried role with a complete benefits package reporting to the General Counsel and Vice President.

• Draft documents, agreements and instruments, such as confidentiality, consulting, purchase and sale contracts, as requested by in-house counsel
• Assist directly with complex contract review and otherwise facilitate legal analysis of contract issues
• Organize and manage the department’s contract database
• Serve as trademark liaison by coordinating with outside counsel, product line management and other internal personnel to obtain and maintain U.S. and foreign trademark registrations
• Coordinate and oversee litigation functions, including discovery, as requested
• Assist in administration of Board and committee meetings, prepare consents, delegations, and resolutions
• Prepare minutes and other corporate secretary documents for subsidiaries, keep accurate minute books, prepare and file state and local filings (qualifications) for company and subsidiaries
• Independently review and process child support orders, garnishments and IRS levies
• Serve as a member of the Records Retention team, assisting with the administration of company-wide records retention and destruction policy, facilitate litigation holds, and respond to inquiries concerning retention practices
• Conduct research and resolve recurring law questions under the guidance of supervising attorney
• Handle information requests to and from other company personnel, including research of legal matters and historical information from company records and information from other departments regarding corporate entities, commercial transactions and litigation; review documents and transmit information and documents to outside counsel and company personnel with minimal guidance from supervising attorney
• Furnish assistance in financing and business development transactions, including due diligence, review and preparation of schedules
• Furnish litigation support including file set-up and maintenance, document and fact gathering, review and preparation of discovery materials, and coordination of work through outside counsel
• Review, code, and process legal bills from outside counsel; develop and implement reports for monitoring outside legal spending
• Manage special projects for the department

Required Eduction:
• Bachelor Degree or significant progress toward a degree strongly preferred; formal paralegal training required

Required Experience:
• 5-10 years corporate legal experience, either in a closely-held family owned business environment or in a law firm preferred

• Ability to work independently while functioning well in a team environment
• Understanding of general business operations, issues and dynamics beyond the scope of basic legal issues
• Ability to communicate effectively with members of other departments in order to support their functions as well as to assist them in supporting the legal staff
• Strong computer skills, including proficiency with Microsoft Office products (Word, PowerPoint, Excel & SharePoint)
• Proficiency with searching the USPTO’s Trademark Electronic Search System (TESS), a plus
• Travel requirements, less than 5%
